Code of Conduct for Board of Directors and Senior Management Team

Objective: - This code of conduct aims at good corporate governance in managing the Company affairs

Applicability: - It is applicable to both the Board of Directors and the Management Team of the Organization. The Management team comprises all the members of the management, below the Directors

Code of Conduct: - The Board of Directors and the Management team of MIL shall adhere to the following code of conduct:-

Business Interest

  • Preserve and protect Company’s assets and resources (including information and intellectual property rights) and shall use the same only for the Company’s business and not for any personal gain or advantage
  • Not to exploit, for their personal gain, opportunities that are discovered by or through the Company
  • Not to divert to their own advantage any business opportunity that the company is in pursuit

Integrity

  • Management Team should act with honesty, integrity, and fairness.

Fiduciary duty

  • Management Team should act in the best interests of the company and its stakeholders.
  • Not to make improper use of information nor take improper advantage of their position as members of Senior Management Team
  • Not allow personal interests to conflict with the interests of MIL

Professionalism

  • Management Team should act in a professional, courteous, and respectful manner.
